Item 8.01. Other Events. As previously disclosed in a Current Report on Form 8-K dated April 21, 2026, JATT II Acquisition Corp (the “ Company ”) consummated its initial public offering (the “ IPO ”) of 6,000,000 ordinary shares, par value $0.0001 per share (the “ Ordinary Shares ”) on April 20, 2026. The Ordinary Shares were sold at a price of $10.00 per share, generating gross proceeds to the Company of $60,000,000. The underwriters for the IPO have a 45 day over-allotment option to purchase up to an additional 900,000 Ordinary Shares at a price of $10.00 per share. Also as previously reported, simultaneously with the closing of the IPO, the Company completed a private placement sale (the “ Private Placement Shares ”) of an aggregate of 300,000 Ordinary Shares to JATT Ventures II L.P., at a purchase price of $10.00 per Private Placement Share, generating gross proceeds to the Company of $3,000,000 (the “ Private Placement ”). As of April 20, 2026, a total of $60,000,000 of the net proceeds from the IPO and the Private Placement, which amounts includes $1,800,000 of underwriters’ deferred fee, was deposited in a trust account established for the benefit of the Company’s public shareholders.
