On March 28, 2026, Banco Santander, S.A. ("Banco Santander") and Santander Holdings USA, Inc. submitted an application to the Board of Governors of the Federal Reserve System requesting approval to acquire Webster Financial Corporation (the "Company") and its non-banking subsidiaries (the "Transaction"). On August 4, 2026, Banco Santander and the Company issued a joint press release announcing that, on August 4, 2026, the Board of Governors of the Federal Reserve System approved the Transaction. The closing of the Transaction is expected to occur on August 20, 2026. A copy of the joint press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
